Welcome to SPLEXX. These Terms and Conditions ("Terms") govern your access to and use of SPLEXX’ websites, applications, services, and software (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind it. In that case, "you" and "your" refer to that organization. If you do not agree to these Terms, you must not access or use the Services.

"Account" means the registered profile you create to access the Services. "Content" means any data, text, files, or materials you submit to or through the Services. "Subscription" means a paid plan that determines your access tier and entitlements.

Capitalized terms not defined here have the meaning given to them elsewhere in these Terms or in an applicable order form or service agreement.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Services. The Services are not directed to children.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security.

The Services, including all software, designs, text, graphics, and trademarks, are owned by SPLEXX or its licensors and are protected by intellectual property laws worldwide. Except for the limited rights expressly granted to you, no rights are transferred to you.

You retain all rights to Content you submit. You grant SPLEXX a worldwide, non-exclusive, royalty-free license to host, process, and display that Content solely as necessary to provide and improve the Services.

The Services may interoperate with or contain links to third-party products, websites, or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is governed by their respective terms.

Paid Services are billed in advance on a recurring basis according to the plan you select. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and subject to change with prior notice.

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You authorize us to charge your designated payment method for all applicable fees.

Your privacy matters to us. Our collection, use, and protection of personal data are described in our Privacy Policy, which forms part of these Terms. By using the Services, you consent to those practices.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

You agree to indemnify and hold harmless SPLEXX, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your Content, or your violation of these Terms or applicable law.

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or as required by law.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

We may update these Terms from time to time to reflect changes in our Services or for legal, regulatory, or operational reasons. When we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a revised effective date. Your continued use of the Services after changes take effect constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which SPLEXX is incorporated, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before initiating formal proceedings, the parties will attempt to resolve any dispute in good faith. Any unresolved dispute will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where mandatory local consumer-protection laws provide otherwise.
